 ants.\n\nABOUT THE EVENT\n\nOperating an independent professional practice
  requires informed decision-making about the basic structure of the busine
 ss. Should it be a sole proprietorship\, should it be incorporated?\n\nIn 
 the course of her presentation\, Ms. Schwartzstein will providing an overv
 iew of the various types of corporate forms in New Jersey\, and the advant
 ages and disadvantages of each form.\n\nThe different corporate entities a
 re: sole proprietorships\, partnerships\, limited liability companies\, S-
 corporation and C-corporation. Ms. Schwartzstein will discuss the requirem
 ents with the state for filings\, the tax implications in general terms\, 
 and the effect on personal liability.\n\nABOUT THE SPEAKER\n\nKathryn Schw
 artzstein focuses her practice on transactional work with local businesses
 . She has represented business owners in the formation of their corporatio
 ns\, sale of their businesses or acquisition of new businesses. This type 
 of work is enhanced by her extensive experience negotiating and drafting c
 ontracts\, including technology contracts. She has worked with business ow
 ners to resolve various disputes through litigation\, including partner di
 sputes\, employment issues and contract disputes. .\n\nKathryn graduated f
 rom Boston College Law School in 2004 and summa cum laude from Boston Coll
 ege in 1998. She worked as an in-house corporate counsel for GoldenSource 
 Corporation\, an international software corporation and for the Technology
  Law Group of the Prudential Insurance Company of America before co-foundi
